1. Introduction
These Terms of Service (“Terms”) govern your use of the website and services provided by Wong Computing Services, LLC (“Company,” “we,” “us,” or “our”). By using our website or engaging our services, you agree to these Terms.
2. Services
Wong Computing Services provides IT consulting, managed IT services, telecom brokerage, internet connectivity consulting, and cybersecurity services (“Services”) to business customers. The specific scope of services will be defined in individual service agreements or statements of work.
3. Service Agreements
Individual engagements may be governed by separate service agreements or statements of work that supplement these Terms. In the event of a conflict between these Terms and a specific service agreement, the service agreement shall control.
4. Customer Responsibilities
Customers are responsible for:
- Providing accurate and complete information necessary for service delivery
- Maintaining the security of their own systems and credentials
- Complying with all applicable laws and regulations in their use of our services
- Timely payment of all fees and charges
- Providing reasonable access to systems and facilities as needed for service delivery
5. Fees and Payment
5.1 Pricing
Fees for services will be as agreed upon in individual service agreements or quotes. Unless otherwise stated, all fees are in US dollars and exclusive of applicable taxes.
5.2 Payment Terms
Unless otherwise agreed in a service agreement, invoices are due within thirty (30) days of the invoice date.
5.3 Late Payment
Invoices not paid within the agreed payment terms may be subject to a late payment charge of one and one-half percent (1.5%) per month, or the maximum rate permitted by law, whichever is less.
6. Telecom Brokerage Services
As a telecom agent and broker, we facilitate connections between customers and third-party telecom carriers and service providers. We are not the provider of the underlying telecom services. The terms, conditions, pricing, and service levels of telecom services are governed by the agreements between the customer and the respective carrier or provider. We make no warranties regarding third-party telecom services.
7. Limitation of Liability
IN NO EVENT SHALL WONG COMPUTING SERVICES, LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. No Warranty
SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
9. Indemnification
You agree to indemnify and hold harmless Wong Computing Services, LLC and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our services or violation of these Terms.
10. Confidentiality
Each party agrees to maintain the confidentiality of the other party’s confidential information and to use such information only for the purposes of the service engagement. This obligation survives termination of the relationship for a period of two (2) years.
11. Term and Termination
11.1 Term
These Terms are effective upon your first use of our website or services and remain in effect until terminated.
11.2 Termination
Either party may terminate an individual service engagement in accordance with the applicable service agreement. In the absence of a specific service agreement, either party may terminate with thirty (30) days written notice.
11.3 Effect of Termination
Upon termination, all outstanding fees become immediately due and payable. Sections regarding limitation of liability, indemnification, confidentiality, and governing law survive termination.
12. Intellectual Property
All intellectual property rights in our website, tools, processes, and methodologies remain our property. Nothing in these Terms transfers any intellectual property rights to you.
13. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
14. Governing Law
These Terms shall be governed by the laws of the State of Kansas without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Johnson County, Kansas.
15. Modifications
We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
17. Entire Agreement
These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Wong Computing Services, LLC regarding the subject matter hereof.
